Our basic transfer services include:

• Receipt of stock certificates presented for transfer, review of endorsements and signature guarantees, cancellation and issuance of stock certificates.
• Maintenance and updates of shareholder records. Our stock transfer software system has been reviewed, analyzed and inspected by the S.E.C. for stability and reliability. Back-up tapes are stored away from our main office to guarantee the safety of your information.
• Processing of stop-transfer orders on lost or stolen securities. We maintain the file and follow to conclusion, replacement or recovery.
• Examination of documents for rule 144 and 144(k) transactions. We will notify the company, if so requested, before restrictions are removed.
• Review of documents for estate or other legal transfers.
• Shareholder mailings including newsletters, press releases, notices of meetings, proxy statements, annual reports, and more. (printing, folding, stuffing, labeling, affixing postage, mailing)

All shareholder records are strictly confidential and are available only to persons designated by your company.

FEE SCHEDULE

ITEMS BILLED TO THE COMPANY:

• Set up fee: Cost plus $500.00
• Shareholders Lists and/or labels: $0.15 per name (minimum of $50.00)
• $20.00 per certificate issued if pre-paid. $25.00 per certificate issued if billed.
• $50.00 surcharge for “non-routine” items (i.e. issuances from “Treasury”) plus legal fees, if applicable.
• Mailings—At cost for postage, printing, etc, plus a reasonable handling fee. Includes newsletters, press releases, notices of meetings, proxy statements, annual reports, Financial Statements, and more.
• Printing of stock certificates—At cost plus a reasonable handling fee.

ITEMS BILLED TO THE PRESENTOR:

• $25.00 per certificate issued, if pre-paid in full and the transfer request meets all the requirements as defined by S.E.C. Rule 240.17AD.d. If fees are billed, the transfer fee is $30.00 per certificate issued.
• Surcharge of $25.00 for each extra order if ratio of cancelled-to-issued certificates exceeds 10:1.

• $50.00 review (Legal) fee for Rule 144 and Rule 144(k) transfers plus the regular transfer fee.
• $25.00 per certificate for “Stop Transfer” requests.
• $25.00 per order extra charge for RUSH (one-day service) transfer requests plus the regular transfer fee.
